GOVERNANCE

The members of the Board of Trustees constitute Directors for the purpose of the Companies Act 2006 and are appointed in accordance with the Articles of Association dated July 2019.

Somers Town Community Association (STCA) is a registered charity and a Company Limited by Guarantee. It is run by a voluntary Board of Trustees, the only members of the charity shall be those persons appointed as Trustees of the charity and all persons appointed as Trustees shall be admitted as members.

APPOINTMENT, INDUCTION & TRAINING OF TRUSTEES

The present Board of Trustees are responsible for the induction and training of any new members, when considering co-opting trustees, the Board has regard for any specialist skills needed. All new trustees undergo an orientation day to brief them on their legal obligation under Charity and Company law, the content of the Memorandum and Articles of Association, the committee and decision making process, the organisation plan/s and the recent financial performance of the charity.

During the induction day they will meet key employees and other trustees. Trustees are encouraged to attend appropriate external training events which will facilitate the undertaking of their role.

ORGANISATION

The charity is organised in accordance with its governing documents and the deliverance of association business. The Board of Trustees meets on a quarterly basis so as to manage its affairs and the day to day management is the responsibility of the Executive Director Mrs. S Elie M.B.E. The remaining staff are employed to run key services, programme activities, or have specific administrative or building responsibilities.

RISK MANAGEMENT

The Board of Trustees have assessed the major risks to which the Association is exposed, in particular those related to the operations and finances of the Association and are satisfied that systems are in place to mitigate exposure to risk inclusive of :-

• An annual review of the risk the charity may face

• The establishment of systems and procedures to mitigate identified and potential risks

• The implementation of procedures designed to minimise any potential impact on the charity; should those risks materialize

• Somers Town Community Association Reserves policy

• Quarterly Board of Trustee meetings, bi monthly Sub-Committee meetings inclusive of Finance and HR, combined with quarterly financial review meetings and an Annual Budget covering Association income and expenditure.

Board of Trustees

Darshan Sanghrajka (Chair) Darshan is the founder of social innovation studio, Super Being Labs. He has 14 years of experience using design and tech for good to help tackle complex social problems, He is also the co-founder of Being ManKind, a project created by Super Being Labs that uses storytelling to help inspire boys to shun damaging gender stereotypes. Outside of work, Darshan is a non-exec at Sporting Memories Network (a social enterprise using sporting reminiscence to fight dementia and isolation for the elderly), a trustee at The PressPad Charitable Foundation, on the Ventures Advisory Board at UnLtd, and a Knowledge Equity Fellow at the Skoll Centre for Social Entrepreneurship at Oxford University.

Benedict Wee (Treasurer) Ben is an accomplished industry professional with over 20 years of experience in the legal and financial services industry in general management and business development. Ben has worked for financial institutions including JPMorgan and Societe Generale, and at international law firms Freshfields and presently, Mayer Brown. Ben is also an entrepreneur having run his own franchised travel business, adviser to a start-up company, serviced high net-worth clients in Switzerland and worked as a consultant at HSBC. Ben holds a Corporate Finance diploma from London Business School and a B.Sc in Economics from University of Oregon, USA

Nabil Khabirpour is the founder and coordinator of the Somers Town Legal Advice Corner, which provides pro-bono legal advice services to local residents. Nabil also works as a lawyer in private practice, focusing on litigation, international arbitration, public international law and European Union law. His practice spans a broad range of areas, including disputes relating to Natural Resources, Business and Human Rights, Competition, Trade and Governmental work. Nabil holds degrees in Law from the University of Cambridge and Oxford.

Rachel Johnson is the General Manager at Phoenix Court based in Somers Town. She is responsible for the day to day management of Phoenix Court which serves as LocalGlobe and Latitude’s office space, as well as a Members Club for Founders. Rachel's background is hospitality, and she has a particular interest in community engagement leading on projects at Phoenix Court to support the local community in Somers Town. She joined The Somers Town Community Association (STCA) as a Trustee in January 2021, and is also a mentor to the cafe manager at Luminary Bakery in Camden, which is a social enterprise supporting disadvantaged women. She is particularly interested in working with the Somers Town community on projects around Health & Wellbeing, Education & Inclusion and Climate & Environment. She believes in the mission, aims and values of STCA and would like to use her skills and experience to support the team in ensuring the organisation fulfils its purpose by bringing a strategic vision, ability to think creativity and commitment to her role as Trustee.

Salima Abdallah. Soul entrepreneur, business lecturer and founder of Real Life Events Youth. She creates employability opportunities for young people to discover interests and turn them into passions. With a background in music publishing, arts administration and education she is an expert in Events management and Digital marketing. Her energy and big vision to support and impact communities with 21st century skills is a force to be reckoned with.  Opening doors for young people to gain industry insights into all industries such as Engineering Fashion Community Events and much more.  Her intention to positively motivate and serve people through mentoring. She also works with adults through Life and Business Coaching and helps people transform their lives and find inspiration and ways to make an impact & make money.
